Job Title: Energy Transactions Counsel

Location: Houston, TX (Hybrid)

Salary: $135,000 - $170,000 + Bonus

We seek an experienced Energy Transactions Counsel that will be instrumental in the development and financing of clean energy projects. Responsibilities:

  • Collaborate with the project development team on strategy, contracting, and project acquisition.
  • Serve as the primary liaison with the capital markets team and outside counsel to manage real estate deliverables for project finance due diligence and closings.
  • Draft, review, and negotiate leases, easements, purchase agreements, and other site control documents.
  • Conduct title reviews, analyze surveys, and oversee title curative work for project development and finance.
  • Support M&A transactions by managing real estate closing deliverables and conducting due diligence inquiries.
  • Provide real estate legal support for permitting, interconnection, and offtake opportunities during project development.
  • Perform detailed due diligence on real estate-based information, including title documents and UCC searches.
  • Resolve process roadblocks and document procedures to facilitate project acquisition.
  • Communicate effectively with cross-functional teams to minimize legal risks while driving projects to completion.
  • Manage and oversee multiple contracts throughout the project development lifecycle.

Must-Have Skills:

  • Juris Doctorate (J.D.) and licensed to practice law in at least one state.
  • 4+ years of legal experience in commercial real estate, with renewable energy industry expertise.
  • Project Finance Experience.

Nice-to-Have Skills:

  • In-house renewable energy experience.
  • Strategic thinking with the ability to identify and manage legal and business risks.
  • Experience with title curative processes and UCC searches.
  • Knowledge of permitting and interconnection processes in renewable energy projects.
